Board Member Fred was named Executive Vice President & Chief Financial Officer of the San Diego Padres on March 3, 2003. Fred originally joined the Padres in July of 2001 as Senior Vice President & CFO after serving as the chief financial officer for various high technology companies during the previous 22 years. Fred has been the CFO of four publicly traded companies, as well as several closely held entities. He has led successful initial public offerings for Maxis, Inc., a developer and publisher of consumer entertainment software including the popular Sim products and Marimba, Inc., a developer and marketer of software management solutions. Fred has also been the point man for the sale of two prominent companies to larger, publicly traded corporations. He currently serves on the Major League Baseball CFO Insurance Advisory Committee. In this capacity, he works closely with other senior baseball financial executives in shaping insurance products for the needs of the teams. In his relatively brief time in the professional baseball industry, he has demonstrated a special interest in and support of the Padres minor league and scouting systems. Fred, a CPA, began his career at Arthur Young & Company. With Arthur Young, he served as an audit manager for Intel, Apple Computer and Atari among other clients. As CFO of the Coin-Operated Games Division of Atari, Inc., he witnessed the success of such hit products as Asteroids, Missile Command and Centipede in his tenure. In addition, he was the CFO of Peter Norton Computing, Inc., the author of the Norton Utilities and several other companies. Fred received a B.A. in Economics from Brooklyn College and his M.B.A. from New York University. He and his wife Roben have two daughters, Hilary and Stacey and reside in La Jolla. |

PROCESS FOR STOCKHOLDER COMMUNICATIONS WITH THE BOARD OF DIRECTORS
Stockholders of DivX, Inc. ("DivX") wishing to communicate with DivX's Board of Directors (the "Board") or an individual director may send a written communication to the Board or such director c/o DivX, Inc., 4780 Eastgate Mall, San Diego, California 92121, Attn: Secretary. Each communication must set forth:
- the name and address of the DivX stockholder on whose behalf the communication is sent; and
- the number of DivX shares that are owned beneficially by such stockholder as of the date of the communication.
Each communication will be reviewed by DivX's Secretary to determine whether it is appropriate for presentation to the Board or such director. Examples of inappropriate communications include advertisements, solicitations or hostile communications.
Communications determined by the Secretary to be appropriate for presentation to the Board or such director will be submitted to the Board or such director on a periodic basis.
